Terms of Service
Last updated: 16 October 2026
These terms are a contract between you and Genfleet LLC (in formation), a limited liability company being formed in Egypt, of Nasr City, Cairo, Egypt ("GenFleet", "we", "us"). Until the company is registered, its founder accepts these terms on its behalf, and they pass to the company on registration.
They cover your use of the GenFleet platform at genfleet.ai, its web app, APIs and command-line tools (together, "the Service").
If you accept these terms for a company or other organisation, you confirm that you have authority to bind it. "You" then means that organisation.
1. Other documents that form part of these terms
- Acceptable Use Policy
- Data Processing Agreement, which applies whenever we process personal data on your behalf
- Privacy Policy
- AI Transparency Notice
- Any order form or plan description we agree with you in writing
If an order form conflicts with these terms, the order form wins for that order. If the Data Processing Agreement conflicts with these terms on personal data, the Data Processing Agreement wins.
2. Who these terms are for
The Service is for businesses and professionals, not consumers. You must be at least 18 and able to enter a contract.
There are two kinds of customer:
- Tenants run agents for their business inside their own workspace and connect them to channels such as WhatsApp, Messenger, Instagram, Telegram, Slack and Discord.
- Developers build agents or tools and run them on the Service.
One organisation can be both.
3. Alpha service
The Service is in alpha. Features may change, break, or be removed. Access is by invitation. We may limit usage or end the alpha at any time.
Only Enterprise plans include a service-level commitment. It is set out in the Enterprise order form or agreement. Other plans have no service-level commitment.
4. Your account
- Give us accurate account information and keep it current.
- Keep your password and API keys secret. You are responsible for everything done with your account and keys.
- Tell us at once at support@genfleet.ai if you think your account or a key has been compromised.
- The account owner controls the workspace. Owners and admins can invite and remove members and set their roles.
5. What we provide
We:
- Host and run your agents in isolated sandboxes.
- Connect your agents to large language model ("LLM") providers, through our AI gateway or with a provider key you add yourself. If you use your own provider key, that provider acts under your own agreement with it.
- Receive and send messages on the channels you connect.
- Store conversation memory, documents you add for your agents to look up, and the progress of your agents' tasks, as described in our Data Retention and Deletion page. Memory about your end customers beyond the current conversation is off until a workspace owner or admin turns it on and accepts the agreement shown in the app.
- Provide the dashboard and APIs.
We may use subprocessors to provide the Service. Our Subprocessors page describes them by type. You can ask us for the named list, as the Data Processing Agreement explains.
6. Your responsibilities
- Use the Service lawfully and follow the Acceptable Use Policy.
- Your end customers. You are responsible for your relationship with the people your agents talk to ("end customers"). For their personal data, you are the controller and we are your processor. You must:
- have a lawful basis (for example, consent) to process their data through the Service;
- tell them, in a privacy notice you publish, that you use an AI agent and service providers such as GenFleet;
- get any licence, permit or consent your local law requires, including for transferring data outside your country;
- handle their requests to access or delete their data, with our help as set out in the Data Processing Agreement.
- Channel rules. You must follow the terms of every channel you connect (for example, Meta's WhatsApp Business Messaging Policy). You must have your own account with the channel where it requires one.
- Sensitive data. Do not send sensitive personal data (health, biometric, financial account, religious, political, criminal, or children's data) through the Service unless we have agreed in writing.
- AI disclosure and human escalation. Tell end customers that they are talking to an AI agent, and give them a clear way to reach a human. See the suggested wording in our AI Transparency Notice.
- Your content. You are responsible for the instructions, prompts, documents, data and code you or your agents put into the Service ("Your Content").
7. AI output
- Agents generate responses using LLMs. Output can be wrong, incomplete, out of date, or offensive, even when the agent is set up well.
- You are responsible for how your agents' output is used, and for checking it before relying on it for anything important.
- Do not use output as the only basis for decisions with legal or similarly significant effects on a person.
- Output is not professional advice (legal, medical, financial, or otherwise).
- Similar prompts can produce similar output for other customers. We do not promise output is unique.
- Tools you mark as needing approval wait for a person on your team to approve them. Other tools run without approval. You decide which tools need approval.
8. Your data
- You own Your Content and the output your agents produce for you, as between you and us.
- You give us a limited licence to host, copy, process, transmit and display Your Content only to provide, secure, and support the Service, and as the law requires.
- We do not use Your Content or your end customers' data to train AI models. Our Subprocessors page describes the types of model provider that may receive it and what their terms allow.
- We may produce aggregated, de-identified usage statistics (for example, token counts and error rates) to run and improve the Service. These do not identify you or any person.
- We keep a security log of incoming messages for 12 months, and may keep short conversation excerpts, with names, phone numbers and other identifiers removed, to write and test the Service's safety rules. Safety examples are never taken from Meta channels and never used to train AI models. You can opt out of safety examples by emailing privacy@genfleet.ai. See the Data Processing Agreement, section 5.2.
- Retention and deletion are described in our Data Retention and Deletion page and the Data Processing Agreement.
9. Our intellectual property
We own the Service, including the platform software, the dashboard, and our documentation. The open-source GenFleet SDK is licensed under the Apache License 2.0, which governs your use of it. Nothing in these terms transfers our rights to you.
If you send us feedback, we may use it without obligation to you.
10. Trial, plans and fees
- Free trial. A new workspace gets a 14-day free trial with 500 credits and the limits of the Basic plan (3 agents, 2 seats, 5 GB of storage). To keep using the Service after the trial, you need a paid plan.
- Paid plans. Our plans are Basic, Standard, Business and Enterprise, billed monthly or annually. Prices, credits and what each plan includes are shown on our pricing page or in your order form. Prices are shown in US dollars (USD). We bill in the local currency of the country of the person who created your workspace, converted from the USD price at the rate shown at checkout or in your order form.
- Payment. You pay using the payment methods shown at checkout, or as set out in your order form.
- Usage. Usage (for example, model tokens or messages) is measured by our systems and counted against your plan's credits and limits.
- Taxes. Fees exclude taxes, which you pay, except taxes on our income.
- Late payment. If you do not pay on time, we will notify you in writing. We may then suspend the Service at any time, including within 14 days of that notice, until you pay.
- Price changes. We give you 30 days' notice before a price change takes effect.
11. Suspension
We may suspend all or part of the Service, or a single agent or channel connection, if:
- you break these terms or the Acceptable Use Policy;
- your use poses a security risk or could harm others, the Service, or our relationship with a channel provider such as Meta;
- a channel provider or the law requires it; or
- you do not pay undisputed fees after notice.
We will tell you why, and give you notice first where it is reasonable and lawful. We will lift the suspension once the cause is fixed.
Suspending your account does not delete your data. Deletion follows section 12 and our Data Retention and Deletion page.
12. Term and ending
- These terms apply from when you first accept them until your account is closed.
- You may close your account or workspace at any time by emailing privacy@genfleet.ai from your account email. When you ask, we disconnect your channels, stop your agents and turn off your API keys. You may cancel by emailing us before deletion starts; channels are not reconnected if you cancel. We then delete the account or workspace as set out in our Data Retention and Deletion page.
- We may end these terms with 30 days' notice, or immediately for a serious breach.
- When the terms end, you must stop using the Service. You may ask us for an export of Your Content within 30 days after the end date, and we will prepare it for you. We then delete Your Content as set out in the Data Processing Agreement, except where the law requires us to keep it.
- Sections on fees owed, intellectual property, disclaimers, liability, and governing law survive the end of these terms.
13. Disclaimers
To the extent the law allows, and except as an Enterprise order form or agreement says otherwise:
- The Service is provided "as is" and "as available", especially during alpha.
- We do not promise that the Service will be uninterrupted, error-free, or secure against every threat.
- We do not control channel providers (such as Meta, Telegram, Slack, and Discord) or LLM providers. We are not responsible for their outages, policy changes, or decisions to restrict or ban your account, number, page, or bot.
- We make no promise about the accuracy or fitness of AI output.
14. Liability
- Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or gross negligence (Egyptian Civil Code Art. 217). Criminal penalties under the PDPL (Arts. 35–48) cannot be shifted to you by contract. Under Art. 47, the person who actually runs a company can be personally liable if they knew of a violation and their breach of duty helped cause it.
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill, or data.
- Each party's total liability under these terms in any 12-month period is limited to the fees you paid us in that period.
15. Indemnity
You will defend and compensate us against third-party claims that arise from Your Content, your agents' messages to end customers, your breach of channel rules, or your breach of the Acceptable Use Policy.
16. Confidentiality
Each party will keep the other's non-public business information confidential, use it only for this contract, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law.
17. Changes to these terms
We may change these terms. For material changes, we will give account owners at least 30 days' notice by email or in the app. If you keep using the Service after the change takes effect, the new terms apply. If you do not agree, you may close your account before then.
18. General
- Governing law: the laws of the Arab Republic of Egypt.
- Disputes: the courts of Cairo, which have exclusive jurisdiction.
- Language: these terms are written in English. If we publish a translation, the English version prevails, unless the law requires otherwise.
- You may not transfer this contract without our consent. We may transfer it to a company that takes over our business, with notice to you.
- If a court finds part of these terms invalid, the rest still applies.
- Neither party is liable for delays caused by events outside its reasonable control.
- These terms, with the documents in section 1, are the whole agreement between us about the Service.
